ClearWithin.com eCommerce Authorized Reseller Policy

Within Skin LLC is dedicated to collaborating with our partners to enhance the sale of Clear Within products through eCommerce platforms. We have established this Authorized Reseller Policy to protect the Clear Within brand, intellectual property, and our authorized channel partners. This policy ensures that customers receive accurate product information, pricing, and warranty protection according to our standards. Additionally, the policy supports fair competition among resellers and those who commit to stocking and marketing Clear Within products in compliance with our policies and programs. Clear Within will interpret and enforce this policy at its sole discretion.

  1. Applicability

    • This policy applies to all resales of Clear Within products, irrespective of the acquisition method—direct from Clear Within, through an authorized distributor, or any other source. Compliance with this policy is mandatory for all resellers.

  2. Sell on Approved Websites Only

    • Resellers are authorized to take orders only through websites they own and operate. Selling on third-party marketplaces (e.g., Amazon, eBay) or through drop-ship accounts and classified sites (e.g., Facebook Marketplace) is strictly prohibited unless explicitly authorized in writing by Clear Within leadership.

  3. Territory Sales

    • Resellers may only sell products within the countries for which Clear Within has provided express written authorization.
    • Resellers should adhere to territorial boundaries within the authorized countries, receiving national pricing if selling outside their specific region but within the permitted country.

  4. Maintain Accurate Brand & Product Information

    • Proper use of all Clear Within trademarks is required.
    • Products must be sold in their original packaging. Alterations such as relabeling or repackaging are prohibited.
    • Products must be stored safely and in accordance with Clear Within's guidelines, ideally in secure, climate-controlled environments.

  5. Trademarks and Copyrights

    • Resellers complying with this policy receive a limited, non-exclusive, revocable license to use ClearWithin trademarks and copyrights for promoting and selling the products. Any misuse may lead to revocation of these rights.

  6. Sell Only to End Users

    • Products are to be sold directly to end-users. Resale to other eCommerce entities is not permitted and must be reported if done inadvertently.

  7. Disclose All Seller Names & Properties

    • All selling entities and web properties must be disclosed to Clear Within directly. Changes must be promptly reported to ensure transparency and compliance.

  8. Product Inspection

    • Upon receiving products, inspect them for any damage or defects. Non-conformities must be reported immediately and the products should not be sold.

  9. Recall and Consumer Safety

    • Cooperation with Clear Within for any product recall or consumer safety issues is mandatory to ensure end-user safety.

  10. Customer Service

    • Reseller will maintain adequate customer service capabilities to handle inquiries and issues. Provide related reports to Clear Within upon request.

  11. Product Loss and Theft

    • Any significant loss or theft of products must be reported to Clear Within promptly.

  12. Report Unauthorized Resellers

    • Report any suspected unauthorized resale activities to Clear Within to help enforce this policy at hello@clearwithin.com

  13. Support of Manufacturer’s Warranty

    • The manufacturer’s warranty must be upheld without modifications. Misrepresentation of warranty terms is strictly prohibited.

  14. Legal Compliance

    • Compliance with all applicable laws related to advertising, sales, and marketing is mandatory. This includes adhering to privacy laws and ensuring secure payment processing.
  15. Clear Within's Minimum Advertised Price Policy
    • The minimum advertised price for any Clear Within product shall not be less than 10% below the current Manufacturer's Suggested Retail Price (MSRP) as published on the ClearWithin.com website. Prices are subject to change and current MSRP will always be sent via email to our distributors.
    • Advertisements stating a price lower than the MAP for a product are not permitted. This includes any form of pricing that can be calculated to show a lower price than MAP, such as offering coupons, discounts, rebates, or other incentives that effectively lower the advertised price of the product below the MAP.
    • Violations of this MAP policy will result in sanctions against the reseller, which may include suspension of shipments, loss of authorized reseller status, and other actions as deemed appropriate by Clear Within. Each advertisement below the MAP will be considered a separate violation. Clear Within reserves the right to monitor compliance with this policy and may unilaterally enforce this MAP at its discretion.

  16. Enforcement

    • Non-compliance with this policy will result in corrective actions, which may include termination of reseller privileges among other potential actions. 
    • Resellers may not circumvent any term of this Policy through any means. Clear Within will interpret any violation of this Policy in its sole discretion. No failure or delay of enforcing this Policy shall be deemed a waiver of right. Clear Within reserves the right to modify this Policy at any time. 

  17. Authorized Reseller Benefits

    • Compliant resellers enjoy additional benefits such as access to enriched product data, dedicated support, and priority assistance in demand generation through eCommerce platforms.

This policy is subject to changes at Clear Within’s discretion, and resellers are expected to stay informed and compliant with any updates.
